Course Description:

Corporate Governance is an elective course designed for undergraduate students in Business Administration. The course aims to equip students with the foundational theories, knowledge, and methods of corporate governance, enabling them to understand the common principles, operational norms, and practices found in modern corporate governance. Topics include agency problems, capital structure, ownership structure, incentive mechanisms, the market for corporate control, information disclosure, governance in business groups, and comparative governance models. The course prepares students to apply governance-related knowledge to solve real-world business problems.

 

Learning Outcomes:

Upon completing this course, students will be able to:

Understand the fundamental principles, systems, and models of corporate governance;

Analyze and compare corporate governance models across countries, especially those practiced in China;

Develop initial leadership, organizational, communication, and collaboration skills, as well as the ability to analyze and solve governance-related issues;

Use enterprise theory from economic and management perspectives to assess China’s corporate institutional structures and propose innovative solutions.

 

Teaching Methods:

The course combines heuristic lectures with case-based instruction, focusing on the integration of theory and practice. Specific methods include:

Heuristic lectures: Structured teaching to help students master the core concepts and theoretical framework of corporate governance;

Case analysis: Application of theory to real or simulated governance cases for practical understanding;

Seminars and group discussions: Promote student interaction, communication, and teamwork;

Independent research and reading: Encourage students to extend their learning beyond the classroom and enhance their awareness of real-world governance challenges.


Assessment Methods:

Final grades are composed of two components:

Class performance (60%): Based on self-study quizzes, assignments, ideological and political education evaluation, tax declaration form exercises, attendance, class participation, and discussion performance;

Final exam (40%): Focuses on assessing students' understanding and application of corporate governance theories.
